Introduction
Welcome to BitBrave – Limited Partnership Investment Fund (“the Fund”), an alternative investment fund established under the laws of Estonia. By accessing or using this website and/or investing in the Fund, you agree to these Terms and Conditions. If you do not agree, please refrain from using this website or participating in the Fund.
1. General Information
1.1. The Fund is a small alternative investment fund (AIF) established in accordance with Estonian law and governed by the Alternative Investment Fund Managers Directive (AIFMD) and Investment Funds Act of Estonia.
1.2. The Fund is managed by BitBrave OÜ (“the Manager”), authorized to manage alternative investment funds.
1.3. The Fund is available exclusively to eligible investors as defined under Estonian law and EU financial regulations.
2. Eligibility
2.1 Investors individuals and legal entities may participate in the Fund.
2.2 Investors must meet specific criteria, including but not limited to minimum investment thresholds, risk assessment, and financial capability to bear potential losses.
2.3 By participating in the Fund, you confirm that you meet the eligibility criteria and have provided accurate and complete information.
3. Investment Risks
3.1 Investments in the Fund involve significant risks, including potential loss of the entire investment. Past performance does not guarantee future results.
3.2 The Fund’s portfolio may include alternative and illiquid assets, which may be subject to market, credit, liquidity, and other risks.
3.3 Prospective investors should seek independent financial, tax, and legal advice before making an investment decision.
4. Fees and Charges
4.1 The Fund charges management fees, performance fees, and other applicable charges as disclosed in the offering documents.
4.2 All fees are detailed in the Fund’s limited partnership fund partnership agreement, which investors must review before participating.
4.3 Fees are non-refundable except as otherwise specified by law or in the Fund’s governing documents.
5. Fund Governance and Operations
5.1 The Fund operates under the supervision of the Manager and in accordance with its Articles of Association and applicable regulations.
5.2 Decisions regarding the Fund’s investments and operations are made exclusively by the Manager and/or appointed representatives. Investors have no direct control over the Fund’s investment strategy or decisions.
5.3 Audited financial statements and periodic reports will be made available to investors as prescribed by limited partnership fund partnership agreement and applicable law.
6. Confidentiality and Data Protection
6.1 The Fund and the Manager will handle all investor data in compliance with Estonian and EU data protection regulations, including the General Data Protection Regulation (GDPR).
6.2 By providing personal information, you consent to its use for purposes related to the operation of the Fund and compliance with legal obligations.
6.3 The Fund will not disclose your personal information to third parties except as required by law or with your explicit consent.
7. Limitation of Liability
7.1 The Fund, its Manager, and affiliates are not liable for any losses, damages, or claims arising from your investment in the Fund, except in cases of gross negligence or willful misconduct.
7.2 The Fund does not guarantee any specific returns or performance and disclaims liability for any market, economic, or other external factors affecting the value of the investment.
8. Amendments
8.1 The Fund reserves the right to amend these Terms and Conditions at any time.
8.2 Any updates will be communicated to investors via the website or other appropriate channels. Continued participation in the Fund constitutes acceptance of the updated terms.
9. Governing Law and Jurisdiction
9.1 These Terms and Conditions are governed by the laws of Estonia.
9.2 Any disputes arising in connection with these Terms and Conditions or the Fund will be resolved in the courts of Estonia.
